Terms & Conditions

These Terms & Conditions (these “Terms”) govern your access to and use of the Matter website and services (“Services”). By enrolling in or using Matter’s Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.


“Matter,” “we,” “us,” or “our” refers to Matter and its affiliates. “Client” refers to the parent or legal guardian enrolling a student. “Student” refers to the individual receiving tutoring or related services.

Services Provided

Matter provides private tutoring, test preparation, academic enrichment, and extracurricular support services, delivered in person or online. Services are customized and educational in nature but do not guarantee specific academic outcomes, grades, test scores, or admissions results.

Enrollment and Eligibility

  • Enrollment must be completed by a parent or legal guardian if the student is under 18.

  • All information provided during enrollment must be accurate and complete.

  • Matter reserves the right to decline or discontinue services at its discretion, including for conduct that interferes with instruction or violates these Terms.

Tutor Assignment and Substitution

  • Matter carefully matches students with tutors based on academic needs and learning style.

  • Tutor availability is not guaranteed, and substitutions may be made when necessary due to scheduling, illness, or other circumstances.

  • Matter does not guarantee a specific tutor long term.

Scheduling and Attendance

  • Sessions must be scheduled in advance.

  • Clients are responsible for ensuring student attendance and readiness.

  • Late arrivals may result in shortened sessions without refund.

Cancellation and Rescheduling

Unless otherwise specified in a written agreement:

  • Sessions cancelled with less than 24 hours’ notice may be charged in full.

  • No-shows are charged in full.

  • Matter reserves the right to enforce stricter policies for peak periods or specific programs.

Fees, Billing, and Payment

  • Fees are based on hourly rates or prepaid packages as agreed upon at enrollment.

  • Payment is due in accordance with the agreed billing schedule.

  • Unpaid balances may result in suspension of services.

  • Rates are subject to change with notice.

Refunds and Credits

  • Prepaid hours are non-refundable unless otherwise stated in writing.

  • Credits may be issued at Matter’s discretion in limited circumstances.

  • Unused hours do not expire and may be transferred to friends or family.

Academic Materials and Intellectual Property

All materials, lesson plans, strategies, and content provided by Matter are proprietary and for personal use only. Clients may not reproduce, distribute, or share materials without written permission.

Student Conduct

Students are expected to behave respectfully during sessions. Matter reserves the right to suspend or terminate services without refund for inappropriate, disruptive, or unsafe behavior.

Online Sessions and Technology

For online sessions, clients are responsible for maintaining a stable internet connection and appropriate technology. Matter is not responsible for interruptions caused by technical issues outside our control.

Recording and Session Documentation

Sessions may be summarized internally for quality assurance and progress tracking. Sessions are not recorded without consent. Any approved recordings are for internal use only unless otherwise agreed.

Disclaimer of Guarantees

Matter does not guarantee academic outcomes, test scores, grade improvements, or admissions results. Educational success depends on multiple factors beyond our control, including student effort and school environment.

Trademark Disclaimer

SAT®, ACT®, AP®, IB®, ISEE®, SSAT®, ERB®, HSPT®, and all other referenced examinations are trademarks of their respective owners. Matter is not affiliated with or endorsed by any testing organization.

Limitation of Liability

To the maximum extent permitted by law, Matter shall not be liable for indirect, incidental, or consequential damages arising from use of our Services. Total liability shall not exceed the amount paid for Services in the preceding three months.

Indemnification

Clients agree to indemnify and hold harmless Matter from claims arising out of misuse of Services, violation of these Terms, or misconduct by the student.

Privacy

Use of Matter’s Services is also governed by our Privacy Policy, which is incorporated by reference.

Termination

Either party may terminate services with written notice, subject to outstanding payment obligations and cancellation policies.

Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

Changes to These Terms

Matter may update these Terms at any time. Continued use of Services after changes constitutes acceptance.
